1. Acceptance of Terms

By accessing and using the Nexia Momentum website and services, you accept and agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our services.

2. Services Description

Nexia Momentum provides AI-powered digital marketing services including but not limited to content strategy, SEO optimization, paid advertising management, social media intelligence, marketing automation, and data analytics. Specific deliverables, timelines, and performance metrics are outlined in individual service agreements.

3. Engagement and Payment

Our services operate on a month-to-month basis unless otherwise specified in a written agreement. Payment is due at the beginning of each billing cycle. Late payments may incur a 1.5% monthly interest charge. We reserve the right to suspend services for accounts that are more than 30 days past due.

4. Client Responsibilities

To deliver our services effectively, you agree to:

• Provide accurate and timely information about your business and goals
• Grant necessary access to accounts, platforms, and tools
• Respond to requests for feedback or approval within agreed timeframes
• Maintain the security of your account credentials

5. Intellectual Property

Pre-existing intellectual property remains the property of its original owner. Work product created specifically for you during the engagement will be transferred to you upon full payment. Nexia Momentum retains the right to use anonymized performance data and case study examples for marketing and educational purposes.

6. Performance Disclaimers

While we strive to deliver exceptional results, digital marketing outcomes depend on numerous factors beyond our control, including market conditions, competitor activity, and platform algorithm changes. We do not guarantee specific revenue, traffic, or conversion numbers. Our AI-powered tools are designed to optimize performance based on available data.

7. Limitation of Liability

Nexia Momentum's total liability under these terms shall not exceed the total amount paid by you in the three months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages arising from the use of our services.

8. Termination

Either party may terminate the service agreement with 30 days written notice. Upon termination, you will receive a prorated refund for any prepaid services not yet rendered. All outstanding invoices become immediately due upon termination.

9. Confidentiality

We treat all business information, data, and strategies shared with us as confidential. We will not disclose your proprietary information to third parties without your consent, except as required by law or to deliver our services.

10. Governing Law

These terms are governed by applicable laws. Any disputes arising from these terms will be resolved through good-faith negotiation. If negotiation fails, disputes will be subject to binding arbitration.

11. Changes to Terms

We may modify these terms at any time. Continued use of our services after changes constitutes acceptance of the updated terms. Material changes will be communicated via email or through our website.
